Terms of Use

Introduction

Thank you for using TWJ Hub ("Platform"), operated by TWJ Hub ("Company"). By accessing or using the Platform, you agree to be bound by these Terms and Conditions ("Agreement"). If you are using the Platform on behalf of a company or other entity, "you" or "your" refers to that entity, and you represent that you have the authority to bind the entity to this Agreement.

General

These Terms and Conditions, along with any other agreements between you and the Company, constitute the entire agreement between the parties and supersede any prior agreements or understandings. The Company's failure to enforce any provision of this Agreement will not be considered a waiver of that right.

Definitions

• Authorized Users: Your employees, agents, contractors, or any entity authorized to act on your behalf.
• Client: You, the user of the Services, including your authorized users.
• Parties: The Company and its authorized representatives, and You and your authorized representatives.
• Services: The sale of gift cards for Naira or Cedis as displayed on the Platform (subject to change).
• Service Provider: The Company and its authorized representatives.
• We, Us, or Our: Refers to the Company and its authorized representatives.
• You or Your: Refers to the Client and its authorized users.

The Services

The Company will provide the Services according to these Terms and Conditions and any additional written agreements. We will use our best efforts to deliver the Services as described on the Platform. If we cannot provide the Services, we will inform you as soon as possible.

Responsibilities and Obligations

The Company will provide the Services in good faith and to a reasonable standard. You have the right to wait for the Services to be completed if we are unable to start on the agreed timeframe. Upon termination of the Agreement by you, you will be liable to pay for any Services rendered up to the date of termination. We reserve the right to claim any losses and damages incurred as a result of such termination.

You will not request the Company to perform immoral or unlawful Services.

You will endeavor to provide detailed information about the Services requested to ensure the best possible service.

You will not request the Company to perform Services to, from, or for locations where our personnel may experience any form of abuse or harm.

Payment

TWJ Hub offers the service of buying various gift cards.

Payment for Services must be made before they are performed. We reserve the right to change our fees and will communicate any such changes before processing your payment.

Termination and Refunds

Refunds may only be requested before the Services are performed, subject to the Company's final discretion. Any refunded amount will be reduced by direct and handling costs.

The Company may terminate the Agreement for any serious breach of these Terms and Conditions by you. We reserve the right to claim any losses and damages resulting from your termination.

Liability, Exclusion and Limitations

The Company warrants that it will use reasonable care and skill to provide the Services according to your requests. We are not liable for any loss or damage (direct or indirect) resulting from the use of Services except in cases of proven negligence by the Company.

We are not liable for any loss, damage, or costs arising from incomplete, incorrect, or inaccurate requests or instructions provided by you.

We are not liable for delays or failures in performing Services due to circumstances beyond our reasonable control.

Our maximum liability to you for any breach of this Agreement is limited to the value of the Service charge, provided that the charge has been paid in full.

Disclosure of Information

All private information is governed by the Privacy Policy on the Platform. We do not sell, rent, or lease your customer list to third parties. We may send you information about Services that we believe may be of interest to you.

Amendments

We may update these Terms and Conditions from time to time. The updated version will take effect upon the next Service. You are advised to periodically check for updates. Continued use of the Services constitutes acceptance of the updated Terms and Conditions.

Severability

If any provision of this Agreement is found to be unenforceable, that provision will be limited to the minimum extent necessary for the Agreement to remain in effect.

Force Majeure

Neither party will be liable for delays or failures in performing their obligations under the Agreement due to causes beyond their reasonable control, such as strikes, war, natural disasters, power outages, or government actions.

Subpoenas

We may disclose your information and data to the extent required by law, subpoenas, or court orders, but we will use commercially reasonable efforts to notify you where permitted to do so.

Governing Law

This Agreement and the rights and obligations of the Parties hereunder shall be governed by and interpreted and construed in accordance with the laws of the Federal Republic of Nigeria.
